Terms of Service

1. Agreement to Terms

By accessing or using The Cold Line (“thecoldline.com,” “the Platform,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you must not use the Platform.

We reserve the right to update these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the updated Terms. Material changes will be communicated via email or in-platform notice.

2. Description of Service

The Cold Line is sports analytics software. We provide data-driven tools including:

• Cold Line Models — model-generated spreads, totals, and fair odds for NFL and MLB
• Plate Read — MLB at-bat prediction and edge analysis
• Edge Scanner — value bet detection across sportsbooks
• NextDown — live game analysis with situational predictions
• Bet Tracker — personal bet logging, CSV import, and performance analytics
• Weather & Wind Analysis — physics-based game environment context
• Odds — multi-sportsbook odds comparison across 19+ sports

The Cold Line is not a sportsbook. We do not accept, place, or facilitate wagers. We do not handle any funds. We provide information and analytics only.

3. Eligibility

You must be at least 21 years of age (or the minimum legal gambling age in your jurisdiction, whichever is higher) to use the Platform. By creating an account, you represent and warrant that:

• You meet the minimum age requirement
• You are legally permitted to access sports betting information in your jurisdiction
• You will not use the Platform in any jurisdiction where such use is prohibited by law
• All information you provide during registration is accurate and complete

We reserve the right to request proof of age or identity at any time and to suspend or terminate accounts that do not meet eligibility requirements.

4. Account Registration and Security

Access to the Platform requires an account and may require an invitation code. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized use of your account

Single-session policy: Each account supports one active session at a time. If a new device tries to log in while another session is active, we warn you first and require confirmation before ending the existing session. If the takeover goes through, the displaced session is notified immediately. This is a security measure, not a restriction. Accounts are for individual use only.

Account sharing is prohibited. Each account is licensed to a single individual. Sharing credentials, distributing account access, or providing multi-user access to a single account violates these Terms and may result in account termination. Group or syndicate access is available at separate pricing — contact us for details.

5. No Guarantee of Results

Sports betting involves substantial risk of financial loss. No analytical model, tool, or prediction can guarantee winning outcomes.

The Cold Line provides probabilistic analysis based on statistical models. Our models, projections, edge calculations, and predictions are informational tools — not investment advice, financial advice, or guarantees of any kind. Past performance of any model or metric does not predict future results.

You acknowledge that:

• All betting decisions are yours alone
• Our models can be and will be wrong
• We are not liable for any losses you incur from bets placed based on information from the Platform
• Backtest results and historical accuracy metrics do not guarantee future performance
• Edge percentages and probability estimates are model outputs, not certainties

6. Acceptable Use

You agree not to:

• Use bots, scrapers, or automated tools to extract data from the Platform
• Reverse-engineer, decompile, or attempt to extract the source code, algorithms, or model weights
• Redistribute, resell, republish, or commercially exploit any data, picks, Cold Lines, projections, probabilities, edges, predictions, or analytics from the Platform, in whole or in part (see Section 8, Confidentiality and Anti-Redistribution)
• Copy, screenshot, export, post, or otherwise share any Platform output with any other person or in any public or semi-public forum, including social media, Discord, Telegram, group chats, or forums (see Section 8)
• Circumvent access controls, authentication, or rate limiting
• Use the Platform to harass, defame, or threaten other users in game chat
• Spam game chat — including repetitive, off-topic, promotional, or automated posting, excessive messaging intended to disrupt other users, or any unsolicited advertising or link-dropping
• Submit false, misleading, or offensive content
• Impersonate another person or entity
• Attempt to gain unauthorized access to other user accounts or administrative systems

Violation of these terms may result in immediate account termination without refund.

7. Intellectual Property

All content, models, algorithms, data compilations, software, visual design, branding, and analytics on the Platform are the exclusive intellectual property of The Cold Line. This includes but is not limited to:

• Cold Line spread and totals models (including calibration weights and formulas)
• Plate Read prediction model and distribution engine
• Edge Scanner detection algorithms and fair-odds calculations
• Total Read wind analysis methodology
• NextDown simulation and prediction engine
• All user interface designs, layouts, and visual assets

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform, and the picks, Cold Lines, projections, probabilities, edges, and other outputs it provides, solely for your own personal, non-commercial use. This license is personal to you alone and may not be assigned, sublicensed, or shared. Your use of all Platform outputs is further subject to Section 8 (Confidentiality and Anti-Redistribution).

8. Confidentiality and Anti-Redistribution

The Cold Line numbers, picks, Cold Lines, projections, probabilities, edges, ratings, model outputs, screenshots, exports, alerts, and other proprietary outputs made available to you through the Platform (collectively, the “Confidential Outputs”) are proprietary, commercially valuable, and confidential. They are provided to authenticated, paying subscribers only and are licensed to you alone. You must treat all Confidential Outputs as confidential and may use them solely for your own personal, non-commercial purposes.

You agree that you will not, directly or indirectly:

• Copy, reproduce, post, publish, republish, transmit, display, distribute, or otherwise share any Confidential Outputs with any other person
• Take or distribute screenshots, screen recordings, photographs, or exports of any Confidential Outputs for the purpose of sharing them with others
• Redistribute, resell, relicense, syndicate, or otherwise make any Confidential Outputs available to non-subscribers, whether for free or for a fee
• Post or share any Confidential Outputs on social media, Discord, Telegram, group chats, messaging apps, forums, betting communities, or any other public or semi-public channel
• Create or distribute derivative works based on the Confidential Outputs, including derivative picks, recommendations, ratings, models, alerts, or social-media posts derived from or substantially based on the Confidential Outputs
• Share, transfer, or provide access to your account or login credentials to any other person, or allow any other person to use your account
• Scrape, harvest, crawl, or use any bot, script, or automated means to extract, copy, or aggregate any Confidential Outputs or other Platform content
• Use any Confidential Outputs for any commercial purpose, or to build, train, operate, market, or support any product or service that competes with the Platform

Model C / Cold Openers timed drops. Where Model C or MLB Cold Openers signals are distributed through a synchronized drop (including Telegram T−10 / T−2 heads-up and a shared T=0 unlock inside a variable daily window), those signals remain Confidential Outputs from the moment they are made available to you. Early redistribution, timed relays, screenshots, or any conduct that undermines the synchronized member drop is a material breach of this Section and may result in immediate suspension or termination without refund.

Per-user watermarking and tracing. Confidential Outputs may be individually watermarked and otherwise marked, tagged, or fingerprinted to identify the subscriber to whom they were licensed. We use these measures, together with access logs, to detect and trace the source of any unauthorized copying, sharing, or redistribution.

Remedies. You acknowledge that any unauthorized copying, sharing, or redistribution of Confidential Outputs causes irreparable harm to The Cold Line for which monetary damages would be an inadequate remedy. In the event of a breach or threatened breach of this Section, The Cold Line may, in addition to any other rights and remedies available to it: (a) immediately suspend or terminate your account and access without refund; (b) seek injunctive and other equitable relief, without the necessity of posting a bond, to prevent or stop the breach; and (c) recover damages, together with costs and, where permitted, attorneys' fees. These remedies are cumulative and in addition to any other remedies available at law or in equity.

Copyright and DMCA. The Platform's content and output formats are protected by copyright and other intellectual property laws. The Cold Line will pursue takedowns of infringing material under the Digital Millennium Copyright Act (DMCA) and other applicable laws, and will terminate the accounts of repeat infringers.

Governing law and exclusive forum for this Section. This Section and any dispute arising out of or relating to the confidentiality, ownership, use, or redistribution of the Confidential Outputs are governed by the laws of the State of Delaware and applicable United States federal law, without regard to conflict-of-laws principles. You consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of Delaware for any such dispute, and you irrevocably consent to personal jurisdiction in, and waive any objection to venue or inconvenient forum in, those courts.

9. Trademarks and Non-Affiliation

The Cold Line (“the Platform”) is an independent provider of sports news, odds information, and analytics. The Platform is not affiliated with, endorsed by, sponsored by, approved by, or associated with the National Football League (NFL), the National Basketball Association (NBA), Major League Baseball (MLB), the National Hockey League (NHL), the National Collegiate Athletic Association (NCAA), the Women's National Basketball Association (WNBA), Major League Soccer (MLS), the Fédération Internationale de Football Association (FIFA), or any other professional or collegiate league, association, conference, governing body, or team, or with any sportsbook, oddsmaker, or data provider, unless an affiliation is expressly stated in writing on the Platform.

All team names, league names, event names, logos, emblems, crests, uniforms, service marks, and trademarks displayed on the Platform are the property of their respective owners. Such marks are used on the Platform solely for purposes of identification, commentary, news reporting, criticism, and analysis (nominative and editorial fair use), and not to indicate any sponsorship, endorsement, affiliation, or official status. The Cold Line claims no ownership of, and asserts no rights in, any third-party mark. The use of any third-party name or mark on the Platform does not imply any partnership with, license from, or official data relationship with the owner of that mark. Nothing on the Platform should be construed as the provision of “official” league data or as an authorized or official product of any league or team.

This notice is provided to prevent confusion and to clarify the independent, editorial nature of the Platform. Mark owners with questions or requests may contact us at legal@thecoldline.com.

10. User-Generated Content

You may submit content through game chat, builds, bet logs, feedback forms, and questionnaires. By submitting content, you:

• Retain ownership of your content
• Grant us a non-exclusive, royalty-free license to use, display, and store your content for Platform operations
• Acknowledge that chat messages are visible to other users and are not private
• Agree not to post content that is illegal, harmful, threatening, abusive, or infringes on intellectual property rights

We reserve the right to remove any content that violates these Terms without notice.

11. Third-Party Data and Services

The Platform incorporates data from third-party providers including sports statistics providers, odds aggregators, and weather services. This data is provided “as is” and we make no guarantees regarding its accuracy, completeness, or timeliness.

The Platform may reference sportsbook names, odds, and lines for informational purposes. We are not affiliated with, endorsed by, or partnered with any sportsbook unless explicitly stated.

12. Limitation of Liability

To the maximum extent permitted by law, The Cold Line and its operators shall not be liable for:

• Any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform
• Financial losses from betting decisions made using information from the Platform
• Service interruptions, data loss, or inaccuracies in model outputs
• Unauthorized access to your account due to your failure to maintain credential security

The Platform is provided “as is” and “as available” without warranties of any kind, express or implied.

13. Termination

We may suspend or terminate your account at any time, with or without cause, including for violation of these Terms, suspected account sharing, spamming game chat, or abusive behavior. Upon termination:

• Your right to access the Platform ceases immediately
• We may retain your data as required by law or for legitimate business purposes
• Provisions regarding intellectual property, limitation of liability, and dispute resolution survive termination

13.1 Appeals

Any account suspension or termination — including suspensions for spamming game chat, suspected account sharing, or other acceptable-use violations — may be appealed. To request a review, email support@thecoldline.com from the email address on the affected account and include:

• The account email and approximate date of suspension
• A brief explanation of why you believe the action should be reversed
• Any context you want us to consider (misidentification, compromised account, etc.)

We review appeals in the order received, typically within 5 business days. Reinstated accounts resume at the tier they held at suspension, with any remaining billing period honored. Decisions on appeal are final at our discretion.

14. Subscriptions & Billing

Paid subscriptions are processed through secure hosted Checkout when a purchase button is available. You are buying a sports research desk: live lines, game-day weather, and reports. We do not take wagers, sell picks, or pay prizes.

Trials and first charge. An eligible new paid subscriber receives a 7-day trial while launch pricing is open and a 3-day trial after launch closes. A valid payment method is required. One commercial trial is allowed per customer and payment instrument. Checkout displays the exact price and cadence before confirmation. Unless you cancel before the trial ends, our payment processor automatically charges the selected monthly price or the full annual price when the trial ends, and the subscription then renews at that cadence until cancelled.

Plan cadence. Listed plans are monthly or annual, in USD. We will not auto-charge a waitlist number, an application, or any unused seat. Annual plans, when offered, are billed up front at a discount off the equivalent 12-month monthly total. Renewal and trial-end dates are shown on your account page and in payment receipts.

Cancellation. You can cancel at any time from the Account page. Cancellation stops future renewals; your access continues through the end of the already-paid billing period, after which your account reverts to the Free tier. Cancelling does not trigger an automatic refund of the current period.

Refunds. Request a refund by contacting billing@thecoldline.com or by replying to your receipt. You may request a full refund of your first paid charge within 14 days of that charge; see our Refund Policy. Renewals, upgrades, and later annual re-bills are not refundable on request. We respond to every request within 3 business days. We deny refunds in cases of suspected abuse, account sharing, email cycling to reset the window, chargeback-first disputes, or material violation of these Terms.

Price changes. We may change subscription pricing with at least 30 days' notice sent to the email on file. Changes apply at your next renewal. Founding Access members who locked in the founding rate (e.g. $99.99/month Sharp for Founding Access #1–20) keep that rate for the life of continuous paid membership, provided the subscription remains active and in good standing; the rate ends if membership lapses.

Launch pricing. The launch promotional window runs through June 30, 2027, at 11:59 PM Central Time, or until the first 100 launch-priced subscriptions are taken, whichever happens first. Subscribers who join during the window lock in the promotional launch rate for the life of the subscription, provided it remains active and in good standing. Once the window closes, new subscriptions are billed at the then-current regular rate. Sharp syndicate access is not available for self-serve checkout; contact us by email for syndicate pricing.

Add-ons. The Cold Line may offer optional add-on services from time to time. Any add-on that is not listed as a purchasable plan on /billing is not currently for sale. Existing customers who already purchased an add-on keep the service they paid for; refunds follow the process above.

Failed payments. If a renewal payment fails and all retries fail, your subscription is cancelled and your account reverts to the Free tier. You can re-subscribe at any time at the then-current price.

Taxes. Our payment processor uses the billing address collected in Checkout to calculate applicable sales tax, VAT, or GST in jurisdictions where we are registered or otherwise required to collect it. The price shown on /billing is the net subscription price; any applicable tax is shown before confirmation.

Disputes & chargebacks. Initiating a chargeback for a valid subscription charge rather than contacting us first may result in permanent account termination. Please contact billing@thecoldline.com with any billing question before disputing with your card issuer.

15. Dispute Resolution

Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or participation in a class action lawsuit. Notwithstanding the foregoing, The Cold Line may seek injunctive or other equitable relief in the state or federal courts located in the State of Delaware to prevent or stop any actual or threatened breach of Section 8 (Confidentiality and Anti-Redistribution) or any infringement or misuse of its intellectual property.

16. Governing Law and Forum

These Terms, and any dispute arising out of or relating to these Terms or your use of the Platform, shall be governed by and construed in accordance with the laws of the State of Delaware and applicable United States federal law, without regard to its conflict of law provisions. You agree that the state and federal courts located in the State of Delaware shall have exclusive jurisdiction and venue over any such dispute, you irrevocably consent to the personal jurisdiction of those courts, and you waive any objection to venue or to an inconvenient forum in those courts, except to the extent any dispute is subject to binding arbitration under Section 15.

17. Contact
